The role is to support the Company Secretary, as their Deputy, working closely with the Executive and members of the Board.

Job Description

- Direct management responsibility for the Assistant Company Secretary and Governance Associate,

- Effective governance support to the FRC’s audit and risk committee including the scheduling and attendance of meetings, preparation of agenda, minutes and action logs, liaison and support to Committee members, Senior Advisors, report authors and stakeholders.

- Effective governance support to the Conduct Committee and Regulatory Committees, any ad hoc sub-groups of those Committees. This support encompasses the scheduling and attendance of meetings, preparation of agenda, minutes and action logs, liaison and support to Committee members, Senior Advisors, report authors and stakeholders.

- Working with, and providing all administration support for, the Appointment Committee on the appointment and reappointment of members of the Tribunal Panel, Enforcement Committee and the Convener.

- Work with GCT to provide ongoing training and induction for members of the Enforcement Committee and Tribunal Panel

- Providing secretarial support for the Enforcement Committee.

- Sending out memos and information to other parties on behalf of the Conduct Committee and Enforcement Committee as required.

- Providing technical governance advice.

- Working with the Company Secretary to ensure effective governance arrangements including through:

- succession planning and recruitment of Senior Advisors and members of the Advisory Panel, including induction and where relevant, continuing education.

- support on the Board and Committee effectiveness reviews across the FRC’s governance structure.

- monitoring governance best practice ensuring it is appropriately reflected in the FRC’s governance arrangements.

- assisting with the production, maintenance and communication of the Governance calendar.

- assisting with the FRC’s governance event.

- ensuring a joined up and consistent approach across the governance structure.

- Working with the Company Secretary and Assistant Company Secretary in relation to the Annual Report.

- Working with the Company Secretary to make statutory filings with Companies House

- Driving continuous improvement, oversight, consistency and standards across the FRC governance landscape.

- Compliance with the FRC’s own constitution and ensuring decisions are accurately recorded.

- Work with members of the non-executive Advisory Panel who provide advice to the executive, including carry out conflicts of interest checks, facilitating - meetings, sending out papers and taking minutes where required (such as for all reconsideration meetings).

- Deputising for the Company Secretary in their absence, including attending any Board or Exco meetings as necessary

- Working with the Governance Team in relation to the following governance matters:

- The maintenance of the FRC’s Governance Handbook and website / intranet / portal;

- Supporting the Governance Associate on conflict of interest and gifts and hospitality policy management for staff and non-executives, ensuring that registers are compliant with the policy and up-to-date and that reports are distributed and considered in line with the requirements.

- Supporting the Governance Associate in providing high quality secretarial support for the UK Accounting Standards Endorsement Board Ltd.

- Leading the process to lay relevant statutory reports in Parliament.

- Supporting on any other governance matters, as required.

The role is based in our central Birmingham office. The post holder should be able to work flexibly to support the team’s activities and also provide cover within the FRC as necessary. The FRC operates a hybrid working arrangement with its workforce. The FRC operates a hybrid working arrangement, with a expectation that 40% of a person's working time will be located at one of our offices per week, with precise arrangements to be agreed between the employee and the line manager.
